Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Fuse Intelligence website, applications (including VocalFuse), and related services (collectively, the “Services”) operated by Fuse Intelligence (“we”, “us”, “our”). By creating an account, purchasing a subscription, downloading software, or otherwise using the Services, you agree to these Terms.

1. Eligibility

You must be at least 16 years old and capable of forming a binding contract to use the Services. By registering, you represent that the information you provide is accurate and that you will keep it up to date.

2. Accounts

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity under your account.
• Notify us promptly if you suspect unauthorized access.
• We may suspend or terminate accounts that violate these Terms or pose a security risk.

3. Subscriptions & payments

• Paid plans (VocalFuse Basic at $10/month, Pro at $15/month) are billed on a recurring basis through Stripe until cancelled.
• Prices are shown at checkout and may change with reasonable notice for future billing periods.
• You authorize us and Stripe to charge your payment method for applicable fees and taxes.
• Failure to pay may result in suspension of subscription benefits and license validation.

Refund requests are handled on a case-by-case basis. Contact support within 14 days of purchase if you believe a charge was made in error.

4. License keys & software

Active subscriptions (or administrator grants) entitle you to a product key and access to download VocalFuse. Subject to these Terms and your payment status:

• We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the software.
• Product keys are for your account only and must not be shared, resold, or published publicly.
• License validation may occur periodically; tampering with validation mechanisms is prohibited.
• We may update, modify, or discontinue features with reasonable notice where practicable.

The software is provided for lawful personal or internal business use. You retain ownership of content you create; we claim no ownership over your transcriptions or notes.

5. Acceptable use

You agree not to:

• Reverse-engineer, decompile, or circumvent license or subscription checks except where law expressly permits
• Redistribute installers, product keys, or cracked versions of our software
• Use the Services to violate any law or third-party rights
• Attempt to gain unauthorized access to our systems, accounts, or data
• Interfere with or disrupt the integrity or performance of the Services
• Use automated means to scrape, overload, or abuse the website or license API

6. Local processing disclaimer

VocalFuse performs speech recognition locally. You are responsible for complying with applicable laws when recording or transcribing conversations (including consent requirements in your jurisdiction). We are not responsible for how you use transcribed output or for third-party applications into which text is pasted.

7. Intellectual property

The Services, including software, documentation, branding, and website content, are owned by Fuse Intelligence or its licensors and protected by copyright and other intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Services as intended.

8. Third-party components

VocalFuse incorporates open-source components including whisper.cpp and OpenAI Whisper Large model weights, subject to their respective licenses. Nothing in these Terms limits your rights under those open-source licenses where applicable.

9. Disclaimer of warranties

THE SERVICES AND SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS. TRANSCRIPTION ACCURACY DEPENDS ON AUDIO QUALITY, MODELS, AND HARDWARE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSE INTELLIGENCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless Fuse Intelligence from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your content, or your violation of these Terms.

12. Termination

You may cancel your subscription at any time through your account or Stripe customer portal where available. We may suspend or terminate access if you breach these Terms or if required by law.

Upon termination, your right to use the software and validate license keys ends, except as required by law. Sections that by nature should survive (e.g. disclaimers, limitation of liability) will survive termination.

13. Changes to these Terms

We may modify these Terms at any time. Material changes will be indicated by updating the “Last updated” date. Continued use after changes constitutes acceptance. If you do not agree, you must stop using the Services.

14. Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws in your country provide otherwise.

15. Enterprise & custom agreements

Volume licensing, on-prem deployments, and custom SLAs may be covered by a separate written agreement. Contact us for enterprise terms.
